Usage Terms

These Usage Terms set out the intellectual property, copyright, usage rights, client-provided material, third-party asset, portfolio use, and confidentiality terms for design services provided by JM Design Studio. They apply together with, and form part of, JM Design Studio’s Client Terms & Conditions. Terms defined in the Client Terms & Conditions have the same meaning in these Usage Terms.

By accepting a quotation, making payment, submitting a brief, confirming a project, or instructing JM Design Studio to begin work, the Client agrees to these Usage Terms.


1. Application of these Usage Terms

These intellectual property terms apply before, during, and after the project where relevant, including during enquiries, brief submission, quotation, project work, revisions, delivery, payment, project completion, cancellation, and any later use of the work.

Unless expressly agreed otherwise in writing, no rights are granted except those expressly stated in the quotation, written agreement, the Client Terms & Conditions, or these Usage Terms.


2. Ownership of drafts, concepts and working files

Unless expressly agreed in writing, JM Design Studio retains ownership of all draft concepts, rejected designs, unused ideas, working files, editable files, templates, source files, process files, sketches, layouts, design directions, and project materials created before or during the design process.

The Client may not use, copy, modify, reproduce, publish, sell, distribute, adapt, submit, register, or give to another designer any draft, rejected concept, unused idea, working file, editable file, source file, or process material unless JM Design Studio gives written permission.

This clause applies during the project and continues after project completion, cancellation, termination, payment, or delivery.


3. Rights granted after full payment

Upon full payment, the Client receives the agreed usage rights to the final approved deliverables only.

After full payment has been received, the Client will receive the agreed usage rights to the final approved deliverables for the purposes stated in the quotation.

The Client may use the final approved deliverables for their own business, organisation, event, team, personal brand, or project as agreed.

These rights apply only to the final approved files provided by JM Design Studio, and not to drafts, rejected concepts, unused ideas, working files, editable files, source files, templates, font files, or third-party assets unless expressly stated in writing.

The Client may not resell, redistribute, claim authorship of, alter, create new derivative designs from, or use unpaid/rejected drafts unless JM Design Studio gives written permission.

Copyright transfer, exclusive ownership, trademark-ready rights, editable source files, or extended commercial licensing are not included unless expressly stated in writing.

Usage rights are not granted until full payment has been received, unless JM Design Studio agrees otherwise in writing.


4. Intended purpose and usage scope

The Client may use the final approved deliverables only for the agreed purpose, platform, duration, territory, quantity, and business scale stated in the quotation, brief, or written agreement.

Any use beyond the agreed scope requires JM Design Studio’s prior written approval and may require additional fees.

Examples of beyond-scope use include resale, redistribution, merchandise, mass production, paid advertising, large-scale commercial campaigns, use by related companies, use by another brand, use for another company, use by a future company, use by an employer, use by another department outside the agreed scope, or use for a different project.

This clause applies after delivery and continues for as long as the Client uses the work.


5. Logo-specific usage rights

For final approved logo designs, upon full payment, the Client receives the right to use the final approved logo as the Client’s brand identity for the business, project, or organisation stated in the quotation, subject to any limits stated in the quotation or written agreement.

This does not include ownership or use of draft logos, rejected concepts, unused ideas, editable files, source files, font files, third-party assets, or alternative concepts unless expressly agreed in writing.

If the Client intends to register the logo as a trade mark, use it for large-scale commercial purposes, transfer it to another entity, or use it across related businesses, the Client should inform JM Design Studio before the project begins so that suitable design and asset choices can be made.

JM Design Studio does not guarantee that any logo or design will be registrable as a trade mark unless this is expressly agreed in writing as part of the project scope.

For logo projects, JM Design Studio does not guarantee that the logo is legally registrable as a trademark, available for exclusive use, or free from similarity to existing marks unless a separate professional trademark search or legal review is arranged by the Client.


6. Source files and editable files

Source files, editable files, templates, layered files, raw files, Canva files, Adobe files, font files, and working files are not included unless expressly stated in the quotation.

Where source files or editable files are provided, additional fees and third-party licence restrictions may apply.

The Client must not assume that receiving a final design file also includes the right to receive or use the original working files.


7. Third-party assets, fonts, stock materials, templates and tools

Some projects may involve third-party assets, including fonts, stock images, mockups, templates, icons, software tools, AI tools, or platform-based assets such as Canva, Framer, Google Fonts, Adobe, or similar services.

Where third-party assets are used, including fonts, stock images, mockups, icons, illustrations, Canva elements, templates, software assets, or other licensed materials, the Client’s rights are subject to the applicable third-party licence terms.

JM Design Studio will take reasonable care to use assets suitable for the project, but the Client understands that third-party assets may be subject to their own licence terms.

JM Design Studio will use reasonable care to select assets suitable for the agreed project purpose. However, separate licences may be required for usage beyond the agreed scope, including trade mark registration, resale, merchandise, mass production, paid advertising, or use in a different project.

If a paid licence, premium asset, commercial font, stock image, template, hosting plan, domain, plugin, or external service is required, the Client may need to pay for it separately unless included in the quotation.

The Client must not extract, reuse, resell, redistribute, modify, or use third-party assets separately from the final approved deliverables unless the applicable licence allows it.

The Client must comply with any third-party platform, software, or asset licence terms that apply to the final work.

This clause applies before, during, and after the project.


8. Client-provided materials

The Client confirms that they have the right to provide and use any materials given to JM Design Studio, including logos, photos, images, fonts, slogans, names, references, brand assets, documents, and third-party materials.

The Client is responsible for obtaining any required licences, consents, permissions, or approvals for client-provided materials.

JM Design Studio is not responsible for legal claims, copyright issues, trademark issues, privacy issues, or permission issues arising from materials supplied or approved by the Client.


9. Portfolio use and credit

Unless the Client requests confidentiality in writing, JM Design Studio may request to display completed work in its portfolio, website, social media, pitch decks, or promotional materials.

JM Design Studio may display the final approved deliverables in its portfolio, website, social media, proposals, presentations, and marketing materials after project completion, unless the Client requests confidentiality in writing before the project begins.

JM Design Studio will not disclose private client information, confidential documents, or sensitive project details without permission.

JM Design Studio will not disclose confidential Client information that is not publicly available.

If the Client does not want the work or client name to be shown publicly, the Client should inform JM Design Studio in writing.

If a project is confidential, unreleased, sensitive, or subject to an embargo, the Client must inform JM Design Studio before the project begins.

Where appropriate, JM Design Studio may credit itself as the designer.


10. Confidentiality

JM Design Studio will take reasonable care to keep confidential information shared by the Client private.

Both parties agree to keep confidential any non-public business, campaign, product, customer, financial, pricing, internal, or strategic information shared during the project.

The Client should clearly identify any information that is confidential, sensitive, embargoed, or not for public release.

Confidentiality applies before, during, and after the project.

Confidentiality does not apply to information that is already public, independently known, required by law, or approved for disclosure by the Client.

Confidentiality does not apply to information that is already public, independently developed, or required to be disclosed by law.


11. Unauthorised use

The Client must not use any work beyond the rights expressly granted in the quotation, written agreement, the Client Terms & Conditions, or these Usage Terms.

Unauthorised use may include using unpaid work, using drafts, using rejected concepts, using work outside the agreed scope, modifying work without permission, removing credits where credits are required, transferring files to another person or entity, or providing files to another party for reuse beyond the agreed purpose.

JM Design Studio reserves the right to require the Client to stop unauthorised use, pay additional fees, or take other appropriate action.


12. Survival of these Usage Terms

The intellectual property, usage rights, third-party asset, client-supplied material, portfolio use, confidentiality, unauthorised use, liability, and payment-related clauses continue to apply after project completion, cancellation, termination, payment, or delivery of final files.
