Client Terms of Service

These Client Terms & Conditions apply to design services provided by JM Design Studio (“JM Design Studio”, “I”, “me”, or “my”) to the client named in the relevant quotation, invoice, project brief, or written agreement (“Client”, “you”, or “your”).

By accepting a quotation, making payment, submitting a brief, approving work, confirming a project, instructing JM Design Studio to begin work, or giving written confirmation to proceed, you agree to these Terms & Conditions unless otherwise agreed in writing.

These terms should be read together with the accepted quotation, brief, invoice, handover document, change request, JM Design Studio’s Usage Terms, and JM Design Studio’s Privacy Notice.

1. Definitions

In these terms:

“JM Design Studio” means the design service provider.

“Client” means the person, business, company, organization, association, school, club, or other entity named in the quotation, brief, invoice, or written agreement.

“Deliverables” means the final approved design files, artwork, graphics, or other items that JM Design Studio agrees to provide to the Client.

“Final approved deliverables” means the completed files approved for delivery to the Client.

“Drafts” include draft concepts, rejected designs, unused ideas, sketches, work-in-progress files, alternative concepts, design directions, process files, working files, editable files, templates, source files, and other materials created during the design process.

“Client Terms” means these Client Terms & Conditions.

“Usage Terms” means JM Design Studio’s Usage Terms (JMDS_IP_Notice_001), which form part of these Client Terms.


2. Scope of Work and Services

The project scope will be based on the quotation, project brief, written messages, or any other written agreement accepted by both parties.

The scope may include services such as logo design, poster design, banner design, shirt design, presentation design, basic website or portfolio design, visual layout, digital artwork, and related design services.

JM Design Studio provides design services including, but not limited to, logos, posters, banners, shirt graphics, social media graphics, and related visual design work.

Only the items expressly stated in the accepted quotation are included. Anything not stated in the quotation is excluded unless agreed in writing.

Examples of excluded items may include printing costs, paid fonts, stock images, premium templates, source files, copywriting, photography, marketing strategy, website hosting, domain fees, complex web development, animation, or additional design variations, unless specifically included.

The exact scope, deliverables, fees, timeline, number of revisions, usage purpose, source file position, and any special terms for each project will be stated in the quotation, proposal, invoice, written agreement, or accepted project communication.

Work outside the agreed scope may require a new quotation, written amendment, additional fees, or updated timeline.


3. Client Representative, Identity and Authority

If the Client is a company, club, society, organisation, team, or group, the person accepting the quotation confirms that they are authorised to accept these terms, act on behalf of the Client, and enter into the project on behalf of the Client.

JM Design Studio will treat instructions, approvals, files, and confirmations from the authorised representative as instructions from the Client.

If there are multiple people involved in the Client’s organisation, the Client is responsible for coordinating internal feedback and providing one clear set of instructions to JM Design Studio.

The Client is responsible for ensuring that its employees, directors, officers, representatives, agents, contractors, team members, departments, related entities, and any other persons who receive or use the deliverables comply with the quotation, Client Terms, usage rights, third-party asset restrictions, confidentiality obligations, and all other applicable terms.

Any use of the deliverables by the Client’s employees, representatives, contractors, departments, related entities, or other persons acting for or on behalf of the Client will be treated as use by the Client.

The final approved deliverables may only be used by the Client named in the accepted quotation, for the agreed purpose and scope. Use by related companies, affiliated organisations, parent companies, subsidiaries, partner organisations, sponsors, other departments, other branches, successors, buyers, merged entities, or third parties is not included unless expressly stated in the quotation or agreed in writing.


4. Company Name Changes, UEN Changes and Transfers

Where the Client is a company or registered entity, the quotation may identify the Client by legal name and Unique Entity Number, where applicable.

If the Client changes its legal name but keeps the same Unique Entity Number, the agreement will continue to apply to the same Client under its new name, unless otherwise agreed in writing.

If the Client’s Unique Entity Number changes, or if the project, rights, deliverables, files, or usage are transferred to another company, organisation, entity, related company, successor, buyer, merged entity, restructured entity, or third party, such transfer is not allowed unless JM Design Studio gives prior written approval.

JM Design Studio may require a new quotation, written amendment, novation, additional fees, or updated usage terms before any transfer or extended use is allowed.

The Client must notify JM Design Studio in writing if its legal name, UEN, ownership, business structure, representative, billing details, or intended usage of the deliverables changes in a way that may affect the project, payment, usage rights, confidentiality, or legal responsibility.


5. Individual Clients and Future Companies

Where the Client is an individual, the usage rights granted under the quotation, written agreement, or Client Terms are granted to that individual only, unless expressly agreed otherwise in writing.

The Client may not transfer, assign, sublicense, share, or allow another person, company, organisation, business, future company, related entity, employer, employee, contractor, partner, or third party to use the deliverables unless JM Design Studio gives prior written approval.

If the Client later incorporates, registers, joins, represents, or operates through a company, business, organisation, club, association, or other entity, that entity does not automatically receive any rights to use the deliverables unless JM Design Studio agrees in writing.

Any use of the deliverables by a future company, organisation, employee, representative, contractor, related entity, or third party may require a new quotation, written amendment, additional fees, or updated usage terms.

The Client remains responsible for any unauthorised use, sharing, transfer, modification, reproduction, publication, sale, distribution, or commercial use of the deliverables by any person or entity who receives the files from the Client.


6. Client Responsibilities

The Client is responsible for providing accurate information, instructions, references, brand materials, logos, text, images, deadlines, and feedback needed for the project.

The Client is responsible for providing accurate project information, required content, brand assets, references, images, logos, text, feedback, approvals, and payment in a timely manner.

The Client must check all names, spelling, dates, prices, contact details, QR codes, UEN numbers, event details, and other factual information before approving any design.

JM Design Studio is not responsible for errors in information supplied or approved by the Client.

The Client must ensure that any materials provided to JM Design Studio can lawfully be used for the project.

The Client confirms that all materials provided to JM Design Studio are owned by the Client, properly licensed by the Client, or lawfully permitted for the intended project use.

The Client must not instruct JM Design Studio to directly copy, trace, reproduce, imitate, adapt, or use any third-party work, brand, logo, artwork, image, character, design, photograph, font, template, or other material unless the Client has the legal right or permission to do so.

JM Design Studio may refuse, modify, or ask for replacement materials if the requested use appears to create copyright, trade mark, licensing, or other intellectual property risks.

The Client remains responsible before, during, and after the project for any claim, loss, dispute, liability, or cost arising from materials, instructions, references, or permissions supplied by the Client.


7. Communication and Response Time

Unless otherwise agreed, the Client should respond to requests for feedback, approval, information, materials, or payment within 3 business days.

Business days refer to Monday to Friday, excluding Singapore public holidays.

If the Client needs more time to respond, the Client should inform JM Design Studio as early as possible.


8. Timeline, Delays, and Rescheduling

Project timelines are estimates unless expressly stated otherwise.

Project timelines depend on timely responses, approvals, materials, and payments from the Client.

If the Client delays in providing required feedback, approval, information, assets, or payment, the project timeline may be extended accordingly.

Delays in Client feedback, payment, content submission, approval, or decision-making may result in changes to the project timeline.

If the Client does not provide a required response or item for more than 7 business days, JM Design Studio may pause or reschedule the project.

If the Client resumes the project after a prolonged delay, JM Design Studio may issue a revised timeline and, where additional administrative work, rescheduling, or urgent work is required, an additional fee, reactivation fee, or rush fee may apply. Any such fee will be communicated before work continues.

If a delay is caused by JM Design Studio, no additional fee will be charged to the Client for that delay. JM Design Studio will provide a revised timeline and may, where appropriate, offer a goodwill discount or other reasonable adjustment.

JM Design Studio is not responsible for delays caused by incomplete information, late responses, third-party issues, or changes requested by the Client.


9. Revisions and Change Requests

The number of included revision rounds will be stated in the quotation.

A revision means a reasonable change to an existing design direction. It does not include a complete change of concept, new design direction, new deliverable, new format, or additional service unless agreed.

Revisions must stay within the original agreed project scope.

Once the included revisions are used, further changes may be charged separately.

Additional revisions, major direction changes, new concepts, new deliverables, new usage purposes, or changes after approval may be charged separately.

Major changes, new deliverables, new requirements, or changes requested after approval may require an add-on quotation, revised quotation, or additional fee.

Any change that affects fees, timeline, deliverables, usage rights, confidentiality, or project scope may require written acceptance before work continues.

JM Design Studio may refuse unreasonable, unlawful, offensive, or impractical requests.


10. Add-ons and Scope Variations

If the Client requests extra work outside the original scope, JM Design Studio may issue an add-on quotation or written scope variation.

All original Terms & Conditions, payment terms, privacy acknowledgements, client responsibilities, and intellectual property terms continue to apply to add-ons and variations unless expressly changed in writing.

JM Design Studio is not required to start add-on work until the additional scope, fee, and timeline have been agreed in writing.


11. Quotations, Fees and Payment Terms

Prices stated on the website, social media, or marketing materials are estimates only. Final fees will be quoted based on the project scope, complexity, timeline, deliverables, revision requirements, and intended usage.

Fees, deposits, milestones, balance payments, and payment deadlines will be stated in the quotation or invoice.

Unless otherwise agreed, JM Design Studio may require a deposit before starting work.

Unless otherwise stated, work will begin only after the Client accepts the quotation and pays any required deposit.

Final files may be withheld until full payment has been received.

Final deliverables and usage rights may be withheld until full payment is received.

Usage rights to the final approved deliverables are granted only after full payment, unless JM Design Studio agrees otherwise in writing.

If payment is late, JM Design Studio may pause work, delay delivery, withhold files, or suspend further services until payment is received.

Deposits are non-refundable once work has started, unless otherwise agreed in writing.

Unless expressly stated otherwise, fees do not include GST, printing, third-party license fees, paid fonts, stock assets, hosting, domain registration, or other external costs.

JM Design Studio is not GST-registered unless expressly stated in the quotation or invoice.


12. Receipts and Payment Confirmation

JM Design Studio may issue invoices, receipts, or payment confirmations for record-keeping purposes.

The Client should keep copies of invoices, receipts, payment confirmations, and payment proof for their own records.


13. Cancellation, Pause, Abandonment, and Termination

Either party may request to cancel or stop a project by written notice.

If the Client cancels, pauses, abandons, or terminates the project after work has started, the Client remains responsible for fees due for work already completed, work in progress, approved milestones, non-refundable costs, third-party costs, and any agreed charges up to the date of cancellation, pause, abandonment, or termination.

If the Client cancels the project after work has started, JM Design Studio may charge for work completed, time spent, costs incurred, and any third-party assets purchased or licensed for the project.

If the Client remains unresponsive after a final written notice, JM Design Studio may treat the project as abandoned and close or terminate the project.

If the project is delayed or inactive because of the Client’s lack of response, missing materials, or non-payment, JM Design Studio may pause or close the project after giving reasonable notice.

Deposits may be non-refundable once work has started, unless JM Design Studio decides otherwise in writing.

Unpaid drafts, concepts, working files, source files, and unfinished materials may not be used by the Client unless JM Design Studio gives written permission.


14. Final Delivery and Handover

Final deliverables will be provided in the file formats stated in the quotation or agreed in writing.

Common final file formats may include PNG, JPG, PDF, SVG, Canva links, print-ready files, or other agreed formats.

Source files, editable files, working files, layered files, raw files, or original project files are not included unless expressly stated in the quotation.

After final delivery, the Client is responsible for downloading, storing, and backing up the final files.

Minor technical re-sending of files may be provided at JM Design Studio’s discretion, but JM Design Studio is not responsible for indefinite file storage.


15. Client Review and Approval

The Client must review the work carefully before approval.

The Client is responsible for reviewing and approving all final deliverables before publication, printing, production, or commercial use.

Once the Client approves the final work, further changes may be treated as a new revision, add-on, or new project.

Approval may be given by signature, checkbox, email, message, payment, or other written confirmation.

JM Design Studio is not responsible for errors, losses, printing issues, publication issues, production issues, or third-party claims arising from Client-approved files, Client-supplied materials, unauthorised changes, or usage beyond the agreed scope.


16. Printing, Production, and External Vendors

If the final design is used for printing, manufacturing, embroidery, shirt production, signage, or other physical production, the Client is responsible for checking the printer’s or vendor’s requirements before production.

Colours may appear differently across screens, printers, materials, lighting, and production methods.

JM Design Studio is not responsible for printing, production, manufacturing, colour variation, material quality, vendor errors, or production defects unless JM Design Studio directly manages that production as part of the agreed scope.


17. Website, Domain, Hosting, and Platform Limitations

For website-related work, the Client is responsible for domain registration, hosting, platform subscriptions, account access, third-party platform fees, and ongoing maintenance unless otherwise agreed.

JM Design Studio is not responsible for platform outages, changes in third-party pricing, loss of access caused by the Client, third-party service changes, or technical issues outside JM Design Studio’s control.

Basic website design does not include complex development, custom code, SEO strategy, legal compliance review, cybersecurity audit, advanced analytics, e-commerce setup, or long-term maintenance unless expressly included.


18. Intellectual Property and Usage Rights

All intellectual property, copyright, usage rights, client-provided material, third-party asset, portfolio use, credit, and confidentiality terms are set out in JM Design Studio’s Usage Terms, Version 1.0, effective 21 June 2026 (JMDS_IP_Notice_001).

The Usage Terms form part of these Client Terms and apply before, during, and after the project. In the event of any inconsistency regarding intellectual property or usage rights, the Usage Terms prevail.


19. Privacy and Personal Data

JM Design Studio may collect, use, store, and disclose personal data for purposes such as project communication, client administration, quotations, invoices, payments, record-keeping, legal compliance, and delivery of services.

JM Design Studio may collect, use, and store personal data such as names, contact details, business information, company information, UEN where applicable, billing details, project communications, brief information, approvals, and transaction records for the purpose of providing design services, managing client relationships, issuing quotations and invoices, delivering projects, maintaining records, and complying with legal or administrative requirements.

By working with JM Design Studio, the Client acknowledges the Privacy Notice and agrees to provide accurate personal data where required for the project.

Marketing or promotional messages will only be sent where consent is obtained or where otherwise permitted by law.

20. No Guarantee of Business Results

JM Design Studio will provide design services with reasonable care and skill.

However, JM Design Studio does not guarantee any specific business outcome, sales result, marketing performance, audience reaction, competition result, approval outcome, trademark registration, website traffic, or client conversion.

Design work can support communication and branding, but results may depend on many factors outside JM Design Studio’s control.


21. Liability

JM Design Studio will use reasonable care in providing its services.

To the fullest extent allowed by law, JM Design Studio is not liable for indirect loss, loss of profits, loss of business, loss of opportunity, reputational loss, printing errors by third parties, platform outages, or issues caused by Client instructions, Client-provided materials, or third-party services.

To the extent permitted by law, JM Design Studio is not liable for indirect losses, loss of profits, loss of business, reputational loss, third-party claims arising from Client-supplied materials, or losses arising from the Client’s unauthorised use or modification of deliverables.

Where JM Design Studio is responsible for a proven error, JM Design Studio’s liability will be limited to reasonable correction of the affected work or the amount paid by the Client for the affected service, whichever is lower.

Nothing in these Terms excludes liability that cannot legally be excluded.


22. Record-Keeping

JM Design Studio may keep project records, invoices, receipts, payment proof, forms, client communications, project files, and related documents for business, accounting, tax, legal, and administrative purposes.

The Client should also keep their own copies of important documents, final deliverables, invoices, and receipts.


23. Changes to These Terms

JM Design Studio may update these Terms & Conditions from time to time.

The version that applies to a project is the version referenced in the accepted quotation, form, or written agreement, unless both parties agree otherwise.

Clients should keep a copy of the applicable Client Terms together with the accepted quotation.


24. Governing Law

These Terms & Conditions are governed by the laws of Singapore.

Any disputes should first be discussed in good faith. If the dispute cannot be resolved, the parties may pursue the appropriate legal remedies available under Singapore law.


25. Acceptance

By accepting the quotation, making payment, submitting a project brief, approving work, or giving written confirmation to proceed, the Client confirms that they have read, understood, and agreed to these Terms & Conditions.
